1. Acceptance of Terms
By installing or using SmartFulfill ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Service Description
SmartFulfill is an automated order routing application for Shopify that:
- Routes orders to optimal fulfillment locations
- Provides analytics and reporting
- Manages routing rules and preferences
- Tracks usage and performance metrics
3. Pricing and Payment
- Subscription Fee: $49.00 USD per month
- Free Trial: 7 days from installation
- Billing: Processed through Shopify's billing system
- Refunds: No refunds for partial months
- Price Changes: 30 days notice for any price increases
4. Subscription Terms
- Subscriptions automatically renew monthly
- Cancel anytime through Shopify admin
- Cancellation takes effect at end of current billing period
- No long-term contracts required
5. Service Level and Support
- Uptime Target: 99.5% availability
- Support: Email support during business hours
- Response Time: Within 2 business days
- Maintenance: Scheduled maintenance with 24-hour notice
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to reverse engineer the Service
- Share account credentials with unauthorized parties
- Interfere with the Service's normal operation
- Submit false or misleading information
7. Data and Privacy
- Your data remains your property
- We process data as outlined in our Privacy Policy
- You can export your data at any time
- Data is deleted 30 days after account closure
8. Intellectual Property
SmartFulfill and all associated intellectual property remain the property of Orchestra Prime AI. Your use of the Service grants you a limited, non-exclusive license during your subscription period.
9. Disclaimers and Limitations
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
We do not guarantee:
- Specific cost savings or performance improvements
- 100% accuracy in routing decisions
- Compatibility with all third-party services
- Uninterrupted or error-free operation
10. Limitation of Liability
Our maximum liability for any claim related to the Service shall not exceed the amount you paid for the Service in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
11. Indemnification
You agree to indemnify and hold harmless Orchestra Prime AI from any claims arising from your use of the Service or violation of these terms.
12. Termination
Either party may terminate this agreement:
- By you: Cancel subscription anytime
- By us: For violation of these terms with 7 days notice
- Immediately for severe violations or illegal use
13. Changes to Terms
We may update these terms with 30 days notice via email or in-app notification. Continued use after changes indicates acceptance.
14. Governing Law
These terms are governed by the laws of the United States and the State of New Jersey, without regard to conflict of law provisions.
15. Dispute Resolution
Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
